What’s a Master Service Agreement?
A Master Services Agreement( “ MSA ”) is a contract between two parties with an ongoing design or business relationship that offers a flexible system for completing a design over time when there will be opinions to be made along the way. The purpose of an MSA is to set the bounds of the contractual relationship, establish a system for negotiating the work that needs to be done, and give an effective way to keep the work on track and resolve any controversies which may arise during the design. Why not use an MSA set up on the Internet?
MSAs, by their nature, need to be customized to the parties and the systems they wish to pursue. There are no form agreements that can take the place of a well-drafted agreement acclimatized to the requirements and capabilities of the parties themselves and the unique nature of their design.
